1. Introduction
Welcome to FilmFunnel, a creative advertising and production agency. These Terms of Service (“Terms”) govern your use of our services, website, and any associated platforms or deliverables. By using our services, you agree to these Terms, the Privacy Policy, and any other referenced policies or agreements. If you do not agree, you must not use our services.
2. Scope of Services
FilmFunnel provides advertising, marketing, and production services, including but not limited to:
• Media Production: Filming, photography, editing, and post-production.
• Content Strategy: Brand storytelling, campaign planning, and media strategy development.
• Advertising Services: Development of marketing campaigns, including digital, print, and video ads.
• Consulting: Brand development, market research, and strategic advisory.
• Distribution Support: Assistance with launching campaigns across digital, broadcast, and social media platforms.
FilmFunnel tailors its services to meet the specific needs of each client, as detailed in individual service agreements.
3. Client Responsibilities
1. Provision of Materials
• Clients must provide all necessary information, assets, and approvals needed for FilmFunnel to execute the agreed services.
• Any delays caused by the client’s failure to provide these items may result in adjustments to timelines or additional fees.
2. Approvals and Revisions
• Clients must review deliverables promptly and provide clear feedback. Delayed approvals or excessive revision requests beyond the agreed scope may incur additional costs.
3. Third-Party Licenses
• Clients are responsible for securing rights or permissions for third-party materials (e.g., music, images, logos) provided to FilmFunnel for use in projects.
4. Payments and Fees
1. Project Quotes and Estimates
• Each project is quoted based on the scope of work and services required. Quotes are valid for 30 days unless otherwise stated.
2. Deposits and Payment Schedule
• A 15% deposit is required to confirm all bookings or project agreements, payable within 5 calendar days of invoice issuance.
• Payment schedules for remaining balances will be detailed in individual project agreements. Final payments must be made prior to the release of final deliverables.
3. Callout and Additional Fees
• On-site also known as "on-location" work incurs a £150 callout fee, payable immediately prior to arrival.
• Additional services or revisions outside the original scope of work may incur extra fees, which will be quoted and approved in advance.
4. Refund Policy
• Refunds are handled in accordance with FilmFunnel’s Refund Policy, detailed separately. Refunds are not available for completed deliverables unless significant defects or non-performance are demonstrated.
5. Intellectual Property and Ownership
1. Ownership of Deliverables
• FilmFunnel retains ownership of all raw footage, project files, and proprietary processes used in production.
• Upon full payment, clients receive a license to use final deliverables for the agreed purposes (e.g., advertising campaigns). This license does not include resale or unauthorized redistribution.
2. FilmFunnel’s Use of Work
• FilmFunnel reserves the right to showcase completed work in its portfolio, website, or marketing materials unless explicitly prohibited in writing by the client.
3. Usage Restrictions
• Clients may not alter or modify final deliverables without FilmFunnel’s prior written consent.
6. Advertising Campaigns
1. Media Distribution
• FilmFunnel will assist in planning, purchasing, and placing advertisements across selected media channels. All placements are subject to third-party platform terms and conditions.
• FilmFunnel is not liable for delays or errors caused by third-party distributors.
2. Performance Metrics
• While FilmFunnel provides insights and recommendations based on analytics, we do not guarantee specific performance outcomes (e.g., reach, sales conversions).
7. Cancellations and Termination
1. Client Cancellations
• Clients may cancel projects up to 14 days before scheduled start dates for a full refund of deposits.
• Cancellations within 14 days of the start date or after work has commenced will result in forfeiture of the deposit and potential billing for completed work.
2. FilmFunnel Cancellations
• If FilmFunnel must cancel a project due to unforeseen circumstances, clients will receive a full refund of all payments made.
3. Termination for Breach
• FilmFunnel may terminate the agreement if the client breaches any material term of this agreement, including non-payment or non-cooperation.
8. Privacy and Confidentiality
Your data is handled in accordance with FilmFunnel’s Privacy Policy. FilmFunnel also agrees to maintain the confidentiality of any proprietary client information provided during the course of work.
9. Arbitration and Dispute Resolution
1. Arbitration Agreement
All disputes arising from or relating to these Terms or the services provided shall be resolved exclusively through binding arbitration under the Arbitration Act 1996.
2. Jurisdiction
Arbitration shall take place in England and Wales, with proceedings conducted in English.
3. Exclusions
Clients may pursue injunctive relief or small claims in a court of competent jurisdiction.
10. Indemnification
Clients agree to indemnify and hold FilmFunnel harmless against all claims, damages, liabilities, or expenses arising from:
• Breaches of these Terms or project agreements.
• Unauthorized use of FilmFunnel’s deliverables.
• Violations of intellectual property rights in materials provided by the client.
11. Limitation of Liability
1. Exclusion of Damages
FilmFunnel is not liable for indirect, incidental, or consequential damages arising from the use or performance of its services.
2. Liability Cap
FilmFunnel’s total liability shall not exceed the fees paid by the client for the specific service in question.
